Central Bank of Nigeria Reaffirms Oversight of Union Bank Amidst Legal Reversal

The Central Bank of Nigeria (CBN) has emphatically restated its commitment to maintaining regulatory oversight of Union Bank of Nigeria’s operations, following a significant court ruling that reversed the apex bank’s earlier decision to remove the bank’s leadership. This reaffirmation underscores the CBN’s dedication to its mandate and adherence to established legal frameworks, even in the face of judicial challenges.

The pivotal court decision, handed down by the Federal High Court in Lagos, nullified the CBN’s directive issued in January 2024. This directive had authorised the removal of the board and management of Union Bank of Nigeria. The court’s judgment declared the CBN’s action to be beyond its legal authority, a concept known as ultra vires, and consequently ordered the immediate reinstatement of the bank’s formerly appointed leadership.

Furthermore, the court’s ruling imposed a significant restraint on the central bank. It has been legally enjoined, along with any appointees or agents acting on its behalf, from undertaking any further actions against Union Bank. This prohibition extends to crucial matters such as the proposed recapitalisation of the bank or any related strategic measures. The judgement also stipulated that the actions of any board appointed by the CBN are subject to judicial review, explicitly characterising such appointees as agents of the apex bank.

In its official response to the court’s pronouncement, the CBN issued a statement signed by its Acting Director of Corporate Communications, Hakama Sidi Ali. The central bank acknowledged the judgment and underscored its steadfast commitment to the rule of law. The CBN indicated that it would be obtaining the “Certified True Copy” of the judgment to conduct a thorough and careful review of its contents.

The statement reiterated the CBN’s position: “As the apex regulatory authority, the CBN remains committed to acting in accordance with its mandate and established legal processes.” This declaration signals the bank’s intent to navigate the situation within the bounds of legal procedure.

The CBN sought to allay any potential concerns among the public and stakeholders by assuring that Union Bank’s operational status remains unchanged. The bank affirmed its continued capability to meet all its obligations to customers, depositors, and other stakeholders. This assurance is crucial for maintaining confidence in the stability of the financial institution and the broader banking sector.

Moreover, the CBN pledged to continue its role in providing essential regulatory oversight. The objective is to ensure that Union Bank operates in a manner that is safe, sound, and stable.
